Who you are dealing with

Simpl is software published by Lee Benjamin Rael, trading as Creative Seed, a sole proprietorship based at 10 Royland Crescent, Hout Bay, Cape Town, South Africa, 7806. Creative Seed is not currently a registered company and does not hold a VAT registration. In these terms, “we”, “us” and “Simpl” mean Lee Benjamin Rael, trading as Creative Seed. “You” means the person or business licensed to use the software. You can reach us at lee@creativeseed.co.za.

What Simpl is, and what it is not

Simpl is an application that runs on your own device. It stores your data in your browser’s storage on that device, encrypted with a key derived from your password. We do not operate a server that holds your financial records, and we have no ability to read, retrieve or restore them.

Simpl helps you record, calculate and present financial information. It is not accounting, tax or legal advice, and it is not a substitute for a qualified accountant. You remain responsible for the accuracy of your records and for your own tax filings.

Simpl produces its own invoices, quotes and credit notes as PDFs. It does not submit invoices through any government e‑invoicing system, and it does not generate the prescribed electronic formats that some countries require, such as Italy, India, Brazil, Mexico and Saudi Arabia. If the law where you operate requires invoices to be issued through such a system, Simpl on its own will not satisfy that requirement. Check with your local tax authority or your accountant before relying on Simpl for your invoicing.

Your licence

When you buy Simpl you receive a non-exclusive, non-transferable licence to use the software for one year from the date of purchase. The licence covers you or your business, on all devices you personally use.

  • You may install and use Simpl on as many of your own devices as you like.
  • You may use it for as many of your own businesses as you like.
  • You may not redistribute the software, resell it, or share your licence key.
  • You may not attempt to circumvent, disable or forge the licensing mechanism.

What happens when a licence lapses

If your licence expires and you do not renew, you keep full access to everything you have already created. You can open, read, print, export and back up all of your records, permanently. You will not be able to create new documents until you renew. Your data is never locked, deleted or held back.

Payment, billing and renewals

Payments are processed by Paddle.com Market Limited, which acts as the Merchant of Record for every purchase. That means your purchase contract for the transaction itself is with Paddle, not with us: they take the payment, handle sales tax and VAT where it applies, and issue your receipt. Paddle’s own terms and privacy policy govern that transaction, and we recommend you read them.

Licences renew annually unless you cancel. You can cancel at any time through the billing portal link on your receipt, or by emailing us and we will do it for you.

Backups, passwords and recovery

Because your data lives on your device and is encrypted with your password, you hold the only keys. We cannot reset your password, recover your recovery phrase, or decrypt your backups, not for you and nor for anyone else claiming to be you.

Important

You are responsible for keeping your own backups and for storing your 12-word recovery phrase somewhere safe. If you lose both your password and your recovery phrase, your data cannot be recovered by anyone, including us. This is a direct consequence of the privacy design, not an oversight.

Acceptable use

You agree not to use Simpl to break the law, and not to reverse-engineer, decompile or modify the software except to the extent that applicable law expressly permits it. You agree not to misrepresent Simpl’s privacy properties to your own clients or customers.

Availability and updates

The application runs on your device and continues to work offline, including if our website is unavailable. We do not guarantee uninterrupted availability of the website, the update service or the exchange-rate lookup. We may change or discontinue features, and we will give reasonable notice of material changes where we can.

Warranties and liability

Simpl is provided “as is”, without warranties of any kind beyond those that cannot be excluded by law. To the fullest extent permitted by law, our total liability to you for any claim relating to Simpl is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect or consequential loss, including lost profits or lost data.

Changes to these terms

We may update these terms. If we make a material change we will note it here and update the date at the top of this page. Continuing to use Simpl after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of South Africa, and the courts of South Africa have jurisdiction over any dispute.
